MeetDrop partner terms
Draft under legal review. These are the terms our first partners accept. When the reviewed version is ready we'll email it to you, and you can accept it or end the partnership before it applies.
These terms are in plain language on purpose: partners are small business owners, and one page you can read beats a contract you skim. "MeetDrop", "we" and "us" mean Ntegro Inc, doing business as MeetDrop. "You" means the partner company that accepts these terms.
1. The program and definitions
You introduce exhibitors and other businesses to MeetDrop. We list you on meetdrop.ai, give the people you send a free trial, and pay you a share of what they pay us.
- Partner link means the web address we give you that identifies you (it carries your partner code).
- Partner code means the code we give you, if any, that a customer can enter at checkout.
- Referred customer means a business or person who first signs up for MeetDrop through your partner link or uses your partner code, and who was not already a MeetDrop user.
- Net payments means what a referred customer actually pays us, after refunds, chargebacks, discounts, credits and sales tax.
- Your page means the page about your company on meetdrop.ai, and your listing in our booth builder finder or show pages.
2. Commission
We pay you 25% of net payments from each referred customer for their first 12 paid months, counted from that customer's first payment. A free trial month is not a paid month.
- Who counts as yours. The first partner link or code a customer used when they first signed up decides it. If a customer later uses another partner's link, the first partner keeps them.
- What doesn't count. Customers who already had a MeetDrop account; your own company's account; payments refunded or charged back (we deduct commission already paid on them from your next payout); and customers gained by breaking section 7.
- Records. Our records decide who is a referred customer and what they paid. You can ask us to check any customer you think is missing within 60 days of their signup.
- Changes to the rate. We can change the rate for future referred customers with 30 days' notice. Customers already referred keep the rate they came in on.
3. Payouts
- When. Once a month, by the 15th, for commission earned in the month before.
- Minimum. If you're owed less than $50, it rolls over to the next month. Whatever is owed when the partnership ends is paid in full, even under $50.
- How. By bank transfer (ACH) or another method we agree on, in US dollars.
- Tax. Before your first payout, you send us a W-9. We send a 1099 for any year we pay you $600 or more. You're responsible for your own taxes.
- Statements. Each payout comes with a statement listing every referred customer, what they paid, and your share.
4. The offer to your clients
Customers who sign up through your partner link or code get 2 months of MeetDrop Pro free. After that they pay our normal price unless they cancel.
- The offer is for new MeetDrop accounts only, one per company.
- You may describe the offer only as we publish it. Don't promise your clients a longer trial, a lower price or features we don't list.
- We can change the client offer with 30 days' notice to you. Clients who already signed up keep the offer they came in on.
- Your clients' accounts, data and billing are between them and MeetDrop. You don't get access to their leads or messages; we show you only who signed up, their plan and what they paid.
5. Your page and listing
- What we show. Your page on meetdrop.ai and your listing in the booth builder finder use your company name, logo, photos of your work and the details you confirm (the states you serve, booth sizes, budget range and services).
- Your permission. You give us a non-exclusive, royalty-free right to show that material on meetdrop.ai, and in our posts and ads that point to your page, for as long as you're a partner. You confirm the photos are of your own work and that you have the right to let us use them.
- Your approval. Nothing goes live until you approve it. You can ask for changes at any time; we make them within 2 working days.
- Ordering. We decide how the finder sorts and filters listings. Being a partner doesn't guarantee a position, a number of visitors or any leads.
- When it ends. If the partnership ends, we take your page and listing down within 2 working days. We may keep copies already published in past posts.
6. Links and the partner badge
- Optional. You're not required to link to MeetDrop. If you do, we give you a "MeetDrop Partner" badge and a short paragraph to use on your website, in emails, in person or in print.
- How to use it. Use the badge as we supply it, without changing its colors or words, and link it to your page or your partner link. Signups through that link count as your referred customers.
- Our marks. You may use the MeetDrop name and badge only to say you're a partner and to point people to MeetDrop. That permission ends when the partnership ends; remove the badge within 30 days.
7. How you promote MeetDrop
- No spam. Only contact people you already work with or who asked to hear from you, and follow anti-spam law (CAN-SPAM) in any email.
- No paid search on our name. Don't bid on "MeetDrop" or close misspellings in search ads, and don't run ads that look like they come from MeetDrop.
- Say only what we say. Don't make claims about MeetDrop beyond what we publish, and don't present yourself as MeetDrop or speak for us.
- Say you earn a commission. Whenever you recommend MeetDrop (on your website, in an email, a post or in person), say clearly that you earn a commission, for example: "We earn a commission if you sign up through our link." The paragraph and badge we give you include it; keep it.
- No self-dealing. Signing up your own company, or customers you create only to earn commission, doesn't count.
If you break this section, we can hold commission on the affected customers and end the partnership.
8. Our relationship, and ending it
- Independent. You're an independent business, not our employee, agent or joint venture partner. Neither of us can sign or promise anything for the other.
- Not exclusive. You can work with other software companies, and we can work with other builders, including ones in your area.
- Ending it. Either of us can end the partnership at any time by email, for any reason.
- After it ends. We still pay commission on payments made before the end date, on the normal schedule. Commission on customers you referred stops at the end date, except where we end it without you having broken these terms: then we keep paying until each customer's 12 paid months are up.
- Confidential. Treat anything we share that isn't public (figures, plans) as confidential, during and after the partnership.
9. Liability, changes and law
- No guarantees. We don't promise any number of visitors, signups or earnings. The program and MeetDrop itself are provided as they are.
- Limit. Apart from commission you've earned, neither of us is liable to the other for indirect or lost-profit damages, and our total liability is capped at the commission paid to you in the 12 months before the claim.
- Your material. You're responsible for claims that the photos or text you gave us infringe someone else's rights.
- Changes to these terms. We can update these terms with 30 days' notice by email. If you don't agree, you can end the partnership before the change takes effect; staying in the program after that means you accept it.
- Law. Florida law applies, and disputes go to the courts in Miami-Dade County, Florida.
- Agreeing. You accept these terms by ticking the box when you confirm your details on your page, or by replying "yes" to the email that links to them. The version you accepted, and when, is kept on your partner record.
